Acquisition SP Group acquires OGM Moulding for £18 million

British injection moulder OGM Moulding is joining SP Group in a deal valued at around 21 million euros. The transaction adds two UK production sites to the Danish group and gives OGM access to its international manufacturing network.

Danish plastics manufacturer SP Group has acquired British injection moulder and box-build specialist OGM Moulding. The company will retain its name, management and approximately 190 employees while gaining access to SP Group’s international production network.

SP Group has completed the acquisition of OGM Moulding and its subsidiaries for a fixed purchase price of approximately €21 million on a cash- and debt-free basis. A further earn-out payment of up to €7 million could become payable if OGM meets agreed earnings targets in 2027 and 2028.

The transaction was financed through an acquisition loan and completed after approval under the UK National Security and Investment Act. OGM reported EBITDA of approximately €5.1 million for the financial year ending 31 May 2026 and expects EBITDA of between €4.1 million and €4.3 million in 2027.

Following the acquisition, SP Group has raised its 2026 growth forecast from 22–28% to 24–30%. Its expectations for earnings margins remain unchanged.

Injection moulding and box-build production

Founded in Oxford in 1962, OGM manufactures injection-moulded precision components at facilities in Oxfordshire and South Wales. The two sites have a combined production area of approximately 10,000 m².

The company focuses on medical devices and diagnostics, protection and safety equipment, and industrial and transport applications. Many moulded components undergo further processing through OGM’s box-build operations, which cover assembly, validation, testing and packaging.

OGM holds ISO 9001, ISO 13485 and ISO 14001 certification as well as UK MDR certification. Its production facilities use robots, optical quality control and real-time process monitoring. More than €11.7 million has been invested in recent years, including in new cleanroom capacity.

OGM to retain its name and management

The acquisition gives SP Group its first production facilities in the United Kingdom. According to the group, the limited overlap between the two companies’ customer bases could create opportunities to offer SP Group technologies to OGM customers and provide British customers with access to production outside the UK.

OGM will continue to operate as a separate company under the management of Warren Berry. Former co-owner and chairman Paul Wightman will remain on its board for a transitional period of at least 12 months. Integration will primarily cover finance, procurement and commercial coordination.
